PurelyInvoices.com is owned and operated by Jason Bradley, an individual doing business as PurelyInvoices.com ("Company," "we," "us," or "our").

2. Description of Service

PurelyInvoices.com provides an online invoice management platform that allows you to:

  • Create, store, and manage invoices
  • Upload PDF invoices for automatic data extraction using AI technology
  • Manage client information
  • Track invoice status and payments
  • Export invoice data

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice.

The Service is provided solely for organizational and informational purposes. The Service does not provide accounting, bookkeeping, tax, legal, or financial advice. You are solely responsible for ensuring compliance with all applicable accounting, tax, and business laws and regulations.

3. Account Registration and Security

3.1 Account Creation

To use the Service, you must:

  • Be at least 18 years of age
  • Provide accurate and complete registration information
  • Maintain and update your account information
  • Be responsible for all activity under your account

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activities that occur under your account

5. Your Data and Privacy

5.1 Your Data Ownership

You retain all ownership rights to your data. This includes invoices, client information, and any other content you upload or create using the Service.

5.2 Data Processing

By using the Service, you grant us permission to:

  • Store your invoice data and PDFs
  • Process your uploaded PDFs using AI/LLM technology to extract data
  • Display and organize your data within the Service
  • Backup your data for disaster recovery

You acknowledge that certain data may be stored in encrypted backups or system logs and retained for a limited period for operational, security, disaster recovery, or legal compliance purposes.

5.3 Privacy Commitment

We Do NOT Sell Your Data

We will never sell, rent, or trade your invoice data or personal information to third parties. Your business data is confidential and remains yours.

6. AI and Automated Processing

Our Service uses artificial intelligence (AI) and Large Language Models (LLMs) to automatically extract information from your uploaded invoice PDFs. By using this feature, you understand and agree that:

  • Your PDF files will be processed by third-party AI services (Google Gemini API)
  • AI extraction may not be 100% accurate and should be verified
  • You are responsible for reviewing and correcting any extracted data
  • We are not liable for errors in AI-extracted information
  • AI-extracted data should not be relied upon as the sole source of truth for accounting, tax, payment, or financial decision-making

7. Intellectual Property Rights

7.1 Our IP Rights

The Service, including its design, features, code, and branding, is owned by us and protected by intellectual property laws. You may not:

  • Copy, modify, or create derivative works of the Service
  • Reverse engineer or attempt to extract source code
  • Use our trademarks or branding without permission
  • Resell or redistribute the Service

7.2 Your IP Rights

You retain all intellectual property rights to your invoices, client data, and any other content you create using the Service.

8. Payments, Billing, and Subscriptions

Some features of the Service require payment of fees. By subscribing, you agree to pay all applicable fees as described at the time of purchase.

  • Fees are billed on a recurring monthly basis unless otherwise stated
  • All fees are non-refundable except where required by applicable law
  • We may change pricing or subscription plans with reasonable advance notice
  • Failure to pay may result in suspension or termination of access

You are responsible for all applicable taxes related to your use of the Service.

9. Disclaimers and Limitations

9.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. We do not guarantee that the Service will be:

  • Uninterrupted or error-free
  • Secure from unauthorized access or data loss
  • Free from viruses or harmful components
  • Compatible with all devices or browsers

9.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, or consequential damages
  • Loss of profits, data, or business opportunities
  • Errors in AI-extracted invoice data
  • Unauthorized access to your account due to your negligence

Our total aggregate liability arising out of or relating to the Service shall not exceed the total amount you paid for the Service during the twelve (12) months immediately preceding the event giving rise to the claim, to the fullest extent permitted under Texas law.

9.3 Force Majeure

We shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to internet outages, third-party service failures, acts of God, natural disasters, labor disputes, governmental actions, or power failures.

10. Account Termination

10.1 Termination by You

You may terminate your account at any time by contacting us at support@purelyinvoices.com. Upon termination:

  • You will lose access to the Service
  • Your data will be deleted within thirty (30) days following termination, except for data retained in backups or logs, which may be preserved for a limited period for operational, security, or legal purposes
  • You may request a data export prior to account termination

10.2 Termination by Us

We may suspend or terminate your account if you:

  • Violate these Terms or our Acceptable Use Policy
  • Engage in fraudulent or illegal activities
  • Fail to pay fees (if applicable)
  • Pose a security risk to the Service or other users

11. Changes to These Terms

We may update these Terms from time to time. When we make material changes:

  • We will update the "Last Updated" date
  • We will notify you via email
  • We will display a notice on the Service

Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.

12. Governing Law and Venue

These Terms shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles.

Any legal action or proceeding arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located within the State of Texas, and you consent to the personal jurisdiction of such courts.

  • Severability: If any provision is found invalid, the remaining provisions remain in effect
  • No Waiver: Our failure to enforce any right does not constitute a waiver
  • Assignment: You may not assign these Terms without our consent
